Terms & Conditions

These terms explain the basis on which SEQUENCE LABEL MANAGEMENT LTD provides its record label management consultancy services, including service orders, consultations, written deliverables and customer responsibilities.

Effective immediately upon publication

1. Introduction

These Terms and Conditions (“Terms”) govern the provision of consultancy services by SEQUENCE LABEL MANAGEMENT LTD (“we”, “us” or “our”).

By placing an order or entering into a service agreement with us, you (“the client” or “you”) agree to be bound by the applicable terms of the agreed engagement.

Before placing an order, please read these Terms together with the relevant service description, the Service Delivery Policy, the Cancellation and Refund Policy and the Privacy Policy.

If you are purchasing as an individual for purposes wholly or mainly outside your trade, business, craft or profession, you may be a consumer for the purposes of applicable consumer legislation.

2. Company information

The services described on this website are provided by:

SEQUENCE LABEL MANAGEMENT LTD
Company Number: 15559717
Registered Office: 2b Swanfield Street, London, England, E2 7DS

3. Our services

We provide record label management consultancy services. Our work is intended to help clients review and organise aspects of their label’s operations, planning and internal working arrangements.

Depending on the selected service, the consultancy may cover:

  • Initial discussions about the label’s current position and requirements.
  • Review of existing operational arrangements.
  • Release schedule and project planning discussions.
  • Team responsibilities and workflow organisation.
  • Resource allocation and project priorities.
  • Preparation of written management recommendations and planning materials.

The available services may include:

  • Initial Label Consultation.
  • Label Operations Review.
  • Release Schedule Consultation.
  • Team Workflow Consultation.
  • Resource & Project Planning.
  • Complete Label Management Plan.

The exact scope, consultation duration, deliverables and applicable price for each service are set out in its individual website description and confirmed order details.

4. Scope and limitations of our services

Our services are consultancy and planning services. Unless expressly agreed in a separate written agreement, they do not include:

  • Music composition, recording, mixing or mastering.
  • Physical or digital music distribution.
  • Artist representation, talent management or booking.
  • Negotiating or administering music rights or licensing transactions.
  • Collecting royalties or managing royalty accounts.
  • Executing advertising, publicity or promotional campaigns.
  • Recruiting staff or managing a client’s employees.
  • Taking over the day-to-day operation of a record label.
  • Implementing recommendations on behalf of the client.

If a client requires work outside the agreed consultancy scope, we may consider it separately. No additional work will be undertaken unless its scope, price and delivery arrangements have been agreed in advance.

Scope clarification: Purchasing a consultancy service does not appoint us as the client’s label operator, distributor, artist representative or production provider.

5. Orders and formation of the contract

Service descriptions on our website provide information about the consultancy options available. An order may be submitted through the website’s ordering facilities.

Submitting an order is a request to purchase the selected service. The order acknowledgement confirms receipt of the order but does not, by itself, confirm a face-to-face appointment.

We will review the order and contact the client using the details supplied to confirm the service arrangements.

Unless the order confirmation states otherwise, the service contract is formed when we expressly accept the order in writing or otherwise confirm that we will provide the selected service.

The confirmation will identify the selected service, applicable price, agreed scope and relevant arrangements.

We may contact the client to clarify information before accepting an order. If we cannot accept an order, we will inform the client and arrange any refund due for amounts received in respect of the unaccepted order.

6. Prices, payment and additional work

The applicable price is the price displayed for the selected service at the time of ordering, subject to the order confirmation and any expressly agreed changes.

Prices are displayed in pounds sterling (GBP). The applicable VAT treatment, where relevant, will be identified in the price information or checkout details before the order is placed.

The client must review the service description and order summary before completing the order. Any applicable charges must be made clear before the client commits to the service.

Additional work

The selected service covers only the work described in its published scope and confirmed order details.

If the client requests additional meetings, expanded document preparation, substantial revisions or work on further projects, we will explain the proposed additional scope, any extra fee and any effect on the delivery date before proceeding.

Additional work will only proceed after the client has expressly agreed to the revised arrangement.

Changes to published prices

We may update website prices from time to time. A price change will not retrospectively alter an order already accepted, unless the client expressly agrees to a change in the service scope and price.

7. Meetings and appointments

Our consultancy services are arranged on a face-to-face basis. The date, time and meeting location will be agreed with the client separately.

A website order or order acknowledgement does not automatically reserve a meeting appointment.

The registered office address shown in these Terms is the company’s registered office and is not automatically a client meeting venue. The actual meeting location will be confirmed separately.

The client should attend at the agreed time and location. If the client needs to rearrange an appointment, they should contact us as early as reasonably possible.

Any alternative appointment will be subject to availability and agreement between the parties.

We will not impose an additional travel or location charge unless it has been explained and agreed with the client before the relevant arrangement is made.

8. Client responsibilities

The client agrees to provide the information reasonably required for the selected consultancy service.

Depending on the service, this may include:

  • Information about the label’s activities and current stage.
  • Existing or proposed release schedules.
  • Details of relevant team roles and responsibilities.
  • Project requirements and resource information.
  • Documents or background information relevant to the consultation.
  • Clarification of objectives, priorities and operational challenges.

The client confirms that information supplied is accurate to the best of their knowledge and that they are entitled to share any documents or information provided to us.

The client should not provide personal or confidential information belonging to another person unless they have the necessary authority or lawful basis.

If information is incomplete or materially inaccurate, this may affect the relevance or timing of the consultancy work. We will discuss any significant impact with the client.

9. Service delivery and written materials

The service consists of the agreed face-to-face consultation and the written deliverables specified in the selected service description.

Depending on the service, written deliverables may include:

  • A consultation summary.
  • An operational review and prioritised recommendations.
  • A proposed release planning document.
  • A team workflow and responsibility outline.
  • A resource and project planning report.
  • A consolidated label management plan.

Written materials will normally be delivered electronically by email, in PDF or another suitable written electronic format.

Unless otherwise agreed, the estimated delivery periods are:

Service Estimated delivery
Initial Label Consultation 3 working days
Label Operations Review 4 working days
Release Schedule Consultation 5 working days
Team Workflow Consultation 6 working days
Resource & Project Planning 7 working days
Complete Label Management Plan 8 working days

Unless otherwise agreed, the delivery period begins on the first working day after the consultation has taken place and we have received the information reasonably required to prepare the agreed materials.

Working days are Monday to Friday, excluding public holidays in England and Wales.

If the client requests a material change to the agreed scope, the delivery date may be revised by agreement.

10. Standard of service

We will provide the agreed consultancy service with reasonable care and skill and in accordance with the service description and confirmed scope.

Information provided about the service, including its scope, consultation arrangements and written deliverables, forms part of the basis on which the service is supplied, subject to any changes expressly agreed with the client.

Where a delivery timeframe has been expressly agreed, we will work to that timeframe. Where no specific timeframe has been agreed, the service will be provided within a reasonable time.

Nothing in these Terms removes any statutory rights or remedies available to a consumer.

11. Cancellation and refunds

Cancellation requests, appointment changes and refund arrangements are governed by our Cancellation and Refund Policy.

Where a consumer enters into a qualifying distance or off-premises service contract, they will generally have a statutory cancellation period of 14 days beginning on the day after the contract is entered into.

A consumer who expressly requests that a service begins during this period may be required to pay a proportionate amount for the service supplied before cancellation, where the legal conditions are satisfied.

Where a service is fully performed during the cancellation period, the statutory cancellation right may be lost only where the consumer’s required express consent and acknowledgement have been obtained before performance begins.

We will not treat an ordinary order submission as an express request for early commencement.

Nothing in these Terms excludes applicable statutory cancellation, refund or service remedies.

12. Confidentiality

Information shared by a client during a consultancy engagement may include operational details, project information, internal working arrangements and commercially sensitive material.

We will use confidential information only as reasonably necessary to consider, arrange and provide the agreed consultancy service, administer the client relationship and meet applicable legal obligations.

We will not knowingly disclose a client’s confidential business information to an unrelated third party except:

  • Where disclosure is necessary to provide the agreed service through an appropriate service provider.
  • Where the client has authorised the disclosure.
  • Where disclosure is required by law or a competent authority.
  • Where the information has become public through no breach of these Terms.

Where information is shared with a service provider, we will take appropriate steps to ensure that access is limited to what is reasonably necessary.

The confidentiality obligations in this section continue after the consultancy engagement ends, subject to applicable legal requirements and legitimate disclosure obligations.

13. Intellectual property

Unless otherwise agreed in writing, intellectual property rights in materials, methods, templates, frameworks and working resources developed or owned by us before or independently of a client’s engagement remain with us or their respective rights holders.

Once the client has paid the agreed price in full, we grant the client a non-exclusive, non-transferable licence to use the bespoke written deliverables supplied under the engagement for the client’s own internal record label management and business planning purposes.

The client may adapt the recommendations for their own internal business use. The client must not resell, publish as a standalone commercial product, distribute to unrelated third parties for commercial exploitation or represent our materials as independently authored work without our prior written agreement.

The client retains ownership of materials and information they provide to us. The client grants us permission to use those materials only to the extent reasonably necessary to provide the agreed service.

Nothing in this section transfers ownership of third-party materials or intellectual property belonging to another person.

14. Nature of consultancy recommendations

Our written materials provide management observations, planning suggestions and operational recommendations based on the information available during the consultancy engagement.

They are prepared for the client’s particular stated requirements and should be considered in the context of the information supplied.

The client remains responsible for business decisions, operational arrangements, expenditure, staffing, release decisions and implementation of any recommendations.

We do not guarantee particular commercial results, audience responses, revenue levels, release outcomes or business performance.

Unless separately agreed, our consultancy does not constitute legal, tax, accounting, investment or regulated financial advice.

15. Liability

We are responsible for providing the agreed service in accordance with these Terms and applicable law.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful. This includes liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot lawfully be excluded or restricted.
  • Consumer rights and remedies that must be preserved by law.

Subject to the above, we will not be responsible for losses arising solely from decisions made independently by the client after receiving consultancy recommendations, where those losses are not caused by our breach of contract or other legal duty.

We are not responsible for inaccurate or incomplete information supplied by the client where that information materially affects the consultancy work and the issue could not reasonably have been identified by us.

For business-to-business engagements only, and to the extent permitted by law, our total liability arising from a particular engagement will not exceed the total fees paid or payable for that engagement.

The business-to-business limitation above does not apply to consumers and does not limit any liability that cannot lawfully be restricted.

16. Events outside our reasonable control

Neither party will be responsible for a delay caused by circumstances beyond that party’s reasonable control, provided reasonable steps are taken to reduce the effect of the disruption.

Such circumstances may include serious transport disruption, unexpected venue unavailability, significant communication outages, severe weather or other events that make the agreed arrangement impractical.

If an event affects a confirmed meeting or delivery date, we will contact the client to discuss a reasonable alternative.

This section does not remove any right to a refund or other remedy where required by applicable law.

17. Complaints and dispute handling

If a client is dissatisfied with any aspect of the consultancy service, they should contact us by email and explain the issue.

Please include the relevant order reference, service description and details of the concern.

We aim to acknowledge complaints within 3 working days and provide a substantive response within 10 working days where reasonably possible.

If further information or investigation is required, we will explain the expected response timeframe.

These response targets do not reduce any statutory deadline or remedy available to the client.

18. Data protection

We process personal information in connection with enquiries, service orders, appointment arrangements, consultancy delivery and customer communications.

Personal information is handled in accordance with applicable data protection legislation, including the UK GDPR and the Data Protection Act 2018.

Further information about the categories of information we collect, the purposes of processing, retention arrangements and individual rights is provided in our Privacy Policy.

19. Changes to these Terms

We may update these Terms when our services, website arrangements or legal requirements change.

The revised version will be published on this page and will apply to new orders placed after publication.

Changes will not retrospectively alter an existing accepted service contract unless the client expressly agrees to the relevant change or the change is required by law.

The version applicable to an accepted order will be the version agreed when that contract was formed, subject to any subsequent agreed variation.

20. Governing law and jurisdiction

These Terms and any dispute or claim arising in connection with them will be governed by the laws of England and Wales.

Subject to any mandatory consumer protections and jurisdictional rights, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.

A consumer who lives elsewhere may also have rights to bring proceedings in their local courts where applicable law provides.
